Software Terms of Use

1. About these terms
These terms govern the download, installation and use of software supplied by Nocturnal Cloud Solutions. By installing or using the software, the customer agrees to these terms.
2. Business use
The software is intended for professional and business use. The person accepting these terms confirms that they have authority to bind the organisation using the software.
3. Licence
Subject to payment of any applicable fees, Nocturnal Cloud Solutions grants the customer a limited, non-exclusive, non-transferable licence to install and use the software for its internal business operations during the applicable licence period.
4. Restrictions
The customer must not sell, sublicense, rent, distribute, reverse engineer, decompile, bypass technical controls, or use the software to break the law or infringe another person's rights, except where applicable law does not allow that restriction.
5. Customer responsibilities
The customer is responsible for authorised deployment, suitable backups, access control, safe configuration and verifying that the software is appropriate for its environment.
6. Updates and support
Updates and support are provided only where included in the purchased licence or support plan. Features, supported platforms and system requirements may change between versions.
7. Trial and preview software
Trial, beta or preview software may be limited, time restricted, incomplete or withdrawn. It must not be relied on for production use unless Nocturnal Cloud Solutions confirms otherwise in writing.
8. Fees and taxes
Prices are confirmed before purchase and may exclude VAT or other applicable taxes. Unless otherwise agreed, fees are non-refundable once a licence key or software download has been supplied, subject to mandatory legal rights.
9. Intellectual property
The software, documentation, brand and related intellectual property remain the property of Nocturnal Cloud Solutions or its licensors. No ownership rights transfer to the customer.
10. Confidentiality and data
Each party must protect confidential information received from the other. The customer remains responsible for personal data and credentials processed through its use of the software and must use the software in accordance with applicable data protection law.
11. Warranties and availability
Nocturnal Cloud Solutions will provide the software with reasonable care and skill. Except for rights that cannot legally be excluded, the software is supplied without any guarantee that it will be uninterrupted, error free or suitable for every purpose.
12. Liability
Neither party limits liability that cannot legally be limited. Subject to that, Nocturnal Cloud Solutions is not liable for indirect loss, lost profit, lost revenue or loss of data, and its total liability is limited to the fees paid for the affected software during the preceding twelve months.
13. Ending the licence and governing law
The licence ends if the customer materially breaches these terms and does not remedy the breach when reasonably asked. On termination, use of the software must stop. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
